Transaction for OT Logistics

JM Law advised OT Logistics on the sale of a fleet of inland waterway vessles and of all shares held in a subsidiary - Deutsche Binnenreederei AG - to a company from the Rhenus group.

The transaction was concluded on August 18, 2020 by performing:

• Share sale agreement for 81.08% of Deutsche Binnenreederei AG shares
• A sales contract under which OT Logistics (together with its subsidiary) sold a part of the inland vessel fleet, and
• Contracts of sale and transfer of rights and duties resulting from certain agreements with the clients

The total net price resulting from the sale is 18,100,000 euros.

The main area of ​​the group's activity is Germany, Belgium, the Netherlands, Austria and the countries of Central and Eastern Europe - Poland, the Czech Republic, Slovakia and Hungary.

The scope of JM Law's advisory services included comprehensive support for OT Logistics in the field of transactions, including, in particular, preparation and negotiation of transaction documentation and coordination of the work of other legal advisors.
