Mergers & Acquisitions

MJH’s M&A practice supports clients in complex investment and ownership transactions. We advise our clients at every stage of a transaction – from planning and initial analysis, through negotiations and preparation of transaction documentation, to post-acquisition integration. We combine legal expertise with experience across finance, technology, trade and services, enabling us to manage transactions effectively, securely and in line with our clients’ strategic business objectives.

Our approach is based on a thorough understanding of the needs of both investors and business owners. This enables us to structure transactions in a way that reflects the specific characteristics of the market and industry, as well as our clients’ long-term development plans.

Our support focuses on the following areas:

  • business acquisitions and disposals – including transactions involving shares, assets and organised parts of a business
  • due diligence and transaction structuring – identifying risks, opportunities for optimisation and areas requiring particular attention
  • drafting and negotiating transaction documents – including share purchase agreements, investment agreements and shareholders’ agreements
  • joint ventures and strategic alliances – advising from the initial concept through to the implementation of appropriate corporate governance arrangements
  • advising private equity and venture capital funds and founders – including investments, capital increases and exits
  • post-acquisition integration – supporting the integration of acquired entities, implementation of new organisational structures and management transitions

Our interdisciplinary approach brings together M&A expertise and specialist knowledge in areas including competition law, tax, data protection, intellectual property and employment law. This enables us to address all relevant legal aspects of a transaction comprehensively, protect our clients’ interests and help ensure an efficient transaction process with a clear understanding of the relevant risks.

Our experience includes, among other things:

  • conducting negotiations in high-value and complex transactions
  • identifying and mitigating legal and tax risks through thorough due diligence
  • designing and implementing appropriate contractual frameworks, including complex valuation structures and transitional legal arrangements, to protect our clients’ interests both during and after the transaction
  • supporting family business owners in the sale of their companies and investors in business expansion and acquisitions
  • coordinating international transactions in cooperation with foreign law firms
  • developing integration strategies that facilitate the effective integration of businesses following the completion of a transaction”
